Nscale raises $3.36B in convertible notes ahead of US IPO

The funding reinforces Nscale’s balance sheet before its New York listing, backed by Third Point and Nvidia.

Nscale said Friday it had arranged $3.36 billion through convertible notes, giving the British AI infrastructure provider fresh capital before its planned public listing later this year. Third Point is leading the package: $2.36 billion is available now, while Nvidia is set to provide another $1 billion in mid-November; the notes become shares once the IPO is complete. Nscale submitted its IPO documents last week; the Financial Times reported a prospective NYSE valuation of $35 billion, while Bloomberg reported a $3 billion fundraising target. According to its IPO filing, contracts have topped $103 billion since its separation from Arkon Energy two years ago. The company is developing data-center campuses in Norway and West Virginia.

Why it matters

This financing gives Nscale a large pool of capital before it lists in New York, strengthening its position as it pitches investors on a business that already claims over $103 billion in contracts and is building out data-center campuses in Norway and West Virginia. The structure of the deal, with notes converting to shares after the IPO and major backers like Third Point and Nvidia, signals confidence that may influence how the market prices its planned $3 billion raise and prospective $35 billion valuation.
